  • Services description and at unstated performance level as set forth in Work Order and customer cooperation.
  • Payment clause due upon invoice receipt, interest accrues, customer responsible for collection fees.
  • Clarification that no partnership, employee-employer or agency relationship.
  • Mutual protection of confidential information.
  • Ownership of work product by service provider with license to customer upon payment.
  • License of necessary information for provision of services from customer to provider.
  • Warranty of services at industry standards and waiver of all implied legal warranties for services and products.
  • Provider limit of liability to $1000.
  • Force majeure protections for weather, acts of God, etc. affecting services.
  • Non solicitation by customer of provider employees.
  • Termination by provider on seven days' notice without cause.
  • Customer must comply with law and regulations.
  • Provider may choose what state law to apply and where disputes should be litigated.
  • Sample Work Order format with examples of items to be listed for detailed work order and project descriptions.
