What is the Checkout process?
After adding items to your shopping cart and clicking the Checkout button, you will provide your credit card and other information to process your order. We need your credit card billing address information to processing of your credit card. We request your phone number solely for us to contact you if there is a problem processing your order, but is not required. In the Purchase Agreement you agree that you are truthfully providing your own information and that you will pay for and not challenge any charge on your credit card.
How is my credit card secured?

How are the terms written?
The terms are written based on Ms. Silver's experience of typical and general industry terms for these agreements and are written with the terms drafted in the purchaser's favor. Legal documents are not one-size fits all. Ideally, you should hire an attorney to craft documents specific to your business goals and deal needs and the current and relevant law for your jurisdiction. You take a voluntary and knowing risk by using legal forms instead.
Do the forms cover law outside the US?
No, only US law. However, if your site and/or main company is outside the US but you have an office in the US, these terms would most likely apply to customers you have in the US if a US customer was to bring a legal claim here, providing you do not edit the choice of law and jurisdiction clauses. Be aware that law varies from state to the state in the US, so it is not one size fits all in some cases.

How do these legal forms protect my business?
Generally, these legal forms allow you to limit the dollar liability of your business in selling a product or providing a service, to waive warranties which are implied into sales of goods by law in the US and to own the work product of people you hire. The Coollawyer, Judith Silver, writes this site and the forms herself. One person, all the work. Most site employ tons of folks who may not even be lawyers and produce, frankly, shoddy and random work with a few legal terms strung together. Coollawyer tries to offer the best we can at a reasonable price to people that cannot yet afford to hire a lawyer but need some protection for their businesses. Since we only make a modest amount, this means to keep the site up and running for informational and other value, the prices we charge are reasonable for doing so. Plus you get:

How do other sites provide cheaper forms?
Republishing Public Information Without Addition
Some other legal forms' sites provide legal forms which are available for free from public sources and simply pass them through to the buyer without adding anything to the process, like instructions or help. Sites that provide legal forms for copyrighting, trademarking and patenting items are often providing the identical legal forms that are available for free from the US Copyright Office and Trademark and Patent Office. Sites that provide forms which show agreements between actual companies are providing the same information freely available to the public through the Securities and Exchange Commission online system.
Attorneys All Over
Certainly you've heard the expression "Too many cooks spoil the broth." Some other forms' sites hire attorneys or non-attorneys in each state to write forms for them, so that there are over 50 authors to their forms (and cooks to their broth). Having so many different attorney authors spoils the broth -- their forms can be inconsistent in legal terms, formatting and opinion and the attorneys may no knowledge of what they are drafting. And it shows. You can’t research their backgrounds, email them, etc. So no accountability.
Some other sites also allow you to "speak to an attorney" in your state or do mass volume legal work which may or may not involve attorneys at all. If you speak to someone from these sites, it is unlikely that the person you speak to has written the forms you have purchased. Some times he or she may not even recommend or understand the language in the form you purchase. Unfortunately, most of these sites make their money based on high volume and low prices and do not encourage anything, like editing the forms, which would slow the sales process - even if it might be in your best interest. We’ve lost track of the bad advice people often receive through such high quantity, low quality sales tactics. And these sites don't guarantee their work.
Hiring an Attorney
Coollawyer wishes that she could say great things about this process but she can’t. It is unfortunate the amount of sheer incompetency and greed that the legal profession (like most others) brings to the table. Fortunately, there a few good souls out there that outshine the rest.
If you need to hire an attorney, try to figure out what kind. That is the first step.
Next think about where the attorney needs to be located – that person should either be where you are or where someone you have a dispute with is located (when you sue someone, you often do so where they are located).
Finally, read sites such as Google and Avvo.com for review of the lawyer.
It’s also a good idea to look up the status of their law license with the state bar; all of them have a section with a lawyer director where you can check such information to ensure their not under review or suspended.
All first consultations should be free, it’s part of the sales process. If the lawyer won’t talk you to for free to assess the issues and whether or not he/she is the right person for the job and so you can do the same, this is NOT a lawyer you want to work with. Keep in mind that you need to have available all parties involved in the situation before the lawyer will speak to you as they must ensure they or their firm does not already represent such person(s) in which case it would a conflict of interest for them to represent both sides and a violation of the State Bar Ethics Rules. If a lawyer does not take this step, be wary, as it means he/she is not concerned about being ethical towards his/her clients.

How do I incorporate, form an LLC or Non-profit Corporation through this site?

We recommend that you review that information and then return to this page when you are ready to continue. Otherwise, you may simply click on the links from our site to Business Filings and you may incorporate, form an LLC or non-profit corporation online in any state. You cannot form a limited partnership or limited liability partnership online since state rules are very specific to these structures.
Why should I incorporate?
Incorporation means that your company is a separate legal and financial entity than yourself. It even has its own social security number for tax purposes which is called a Federal Tax ID. Most people incorporate to limit their personal liability so that their personal assets are not at risk for debts of the corporation. For example, if your company get sued and loses for copyright infringement or a claim by an employee, the winner of the suit cannot take your personal car or home. Also, if you plan to receive investment in your company, have employees, and grow to be more than a one man show, formation of a legal entity is an important step to promote these future goals.
What are the differences between a c corporation and an s corporation? What is an s corporation?
A C corporation is the standard corporation formed. An S corporation is a tax, not legal, distinction made for tax purposes after incorporating within a short time period. You must have under 100 shareholders to be an S corporation and you may not have foreign investors.
What are LP, LLP and LLC's?
LP means limited partnership. LLP means limited liability partnership. LLC means limited liability company. Each of these have meanings and rules which vary based on the state.
What state should I incorporate in?
You should read through the information on this topic on Business Filings in the "Learn About Incorporating" section. Determine which state best meets your needs and then print out the requirements for that state so you can correctly complete them during the incorporation process and follow them in the future. For most situations, incorporating in your state will suffice.
How much does it cost to incorporate?
Fees include Business Filings' service fees, agent for service fees (for hiring of a person to accept legal documents on behalf of the corporation which is required by law) and other optional services fees (getting your Federal Tax ID Number for you); state incorporation fees and state franchise taxes. State taxes and fees vary greatly between states (and can sometimes be very high such as in Delaware). Keep in mind that you will have to register your corporation as a foreign corporation doing business in any state in which you have an office and are not incorporated - these fees can add up also depending on how many offices you have. This means picking a state to which you have no relationship, just doubles your fees. Typically corporate fees are no more than $500.
