Summary:
Includes mutual industry terms for negotiations PRIOR to a Final Contract. This form is also known as an LOI, Letter of Understanding, Memorandum of Agreement, Memorandum of Understanding (MOU).
This form INTENTIONALLY INCLUDES MINIMUM IMPORTANT BINDING LEGAL TERMS to decrease the risk that a court could find that the LOI is a binding contract regarding the proposed discussion points.
If you intend to write a binding agreement for the full transaction or intend to include significant legal or business detail, do NOT use an LOI -- use the final agreement.
